Overview

Welcome to TerraImm. These Terms of Use ("Terms") govern your access to and use of the website, mobile applications, online scheduling and consultation-booking tools, client portals, payment features, and related online services (collectively, the "Platform") operated by TerraImm, Inc. ("TerraImm," "we," "us," or "our"), a Texas corporation headquartered in Houston, Harris County, Texas.

TERRAIMM IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. TERRAIMM CONNECTS USERS WITH INDEPENDENT, LICENSED IMMIGRATION ATTORNEYS AND LEGAL PROFESSIONALS FOR ASSISTANCE WITH VISA AND IMMIGRATION MATTERS. TERRAIMM IS NOT AFFILIATED WITH OR ENDORSED BY U.S. CITIZENSHIP AND IMMIGRATION SERVICES ("USCIS") OR ANY OTHER GOVERNMENT AGENCY.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A MANDATORY BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER IN SECTION 13 THAT REQUIRE DISPUTES TO BE RESOLVED ON AN INDIVIDUAL BASIS IN HARRIS COUNTY, TEXAS, RATHER THAN IN COURT.

By accessing or using our Platform, scheduling a consultation, creating an account, or clicking "I Agree," you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Platform.

1. Eligibility & User Accounts

1.1 Age & Capacity

You must be at least 18 years old and possess the legal authority and capacity to enter into a binding contract to use the Platform. If you use the Platform on behalf of a company or legal entity seeking business-immigration services (an "Employer"), you represent and warrant that you have full authority to bind that entity to these Terms.

1.2 Account Security

When registering, you agree to provide accurate, current, and complete information and promptly update your account profile as needed. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify TerraImm immediately at support@terraimm.com of any suspected breach of security or unauthorized account access.

2. Platform Role; No Legal Advice; No Attorney-Client Relationship

2.1 Referral & Case-Support Platform

TerraImm operates a technology platform that provides general information about U.S. immigration processes, facilitates the scheduling of free initial consultations, connects users ("Clients") with independent, licensed immigration attorneys and other legal professionals in TerraImm's network ("Legal Partners"), and, for Clients who choose to proceed, enters into a Master Services Agreement itemizing applicable fees as described in Section 7. TerraImm acts solely as an intermediary and case-support platform — never as a provider of legal services.

2.2 No Law Firm; No Legal Advice

TerraImm is not a law firm and does not employ its Legal Partners as attorneys of TerraImm. TerraImm does not provide legal advice, legal opinions, legal representation, or case strategy. Any legal advice you receive is provided solely by the independent, licensed attorney you engage, not by TerraImm. Nothing on the Platform — including articles, guides, checklists, FAQs, or communications with TerraImm's non-attorney staff — constitutes legal advice or creates an attorney-client relationship between you and TerraImm.

2.3 Independent Legal Partners

Legal Partners are independent professionals and are not employees, agents, partners, or joint venturers of TerraImm. TerraImm does not direct, supervise, or control the independent professional judgment of any Legal Partner in the practice of law, and is not responsible for the advice, actions, omissions, or work product of any Legal Partner.

2.4 No Outcome Guarantees

U.S. immigration law and the adjudication of visa, residency, and citizenship applications are governed by complex and frequently changing rules applied by government officials outside TerraImm's control. TerraImm makes no guarantees or warranties regarding case eligibility, processing times, visa approval, or any other outcome.

2.5 No Government Affiliation

TerraImm is not affiliated with, endorsed by, or acting on behalf of USCIS, the U.S. Department of State, or any other government agency.

3. Client Responsibilities

Users of the Platform ("Clients") represent, warrant, and agree to:

1. Truthful Information: Provide accurate, current, and truthful information regarding your identity, immigration history, eligibility, and supporting documentation.
2. Document Authenticity: Submit only genuine documents, and never submit fraudulent, forged, altered, or misleading documents or information.
3. Legal Compliance: Comply with all applicable immigration and other laws, and cooperate in good faith with any Legal Partner you engage.
4. Timely Cooperation: Respond promptly to requests for information or documents reasonably necessary to complete a consultation or process your case.

4. Legal Partner Standards

Legal Partners participating in TerraImm's network represent, warrant, and agree to:

1. Licensure: Maintain an active, valid license to practice law in good standing in the applicable jurisdiction.
2. Professional Responsibility: Comply with all applicable rules of professional conduct, bar rules, and immigration law.
3. Independent Judgment: Exercise independent professional judgment when advising Clients, free from direction or control by TerraImm.
4. Confidentiality: Maintain the confidentiality of Client communications and documents consistent with applicable rules of professional conduct and privilege.

5. Prohibited Conduct, Anti-Scraping & Database Protections

You agree NOT to engage in any of the following prohibited activities:

1. Platform Interference: Use malware, viruses, Trojan horses, or harmful code designed to disrupt, overload, or compromise the integrity of the Platform.
2. Automated Scraping & Harvesting: Use bots, spiders, scrapers, crawlers, data-mining tools, or automated software to harvest, extract, or collect user profiles, client information, attorney databases, or case information without TerraImm's express written consent.
3. AI Model Training: Use any content, data, client profiles, case information, or text from the Platform to train, evaluate, or fine-tune third-party artificial intelligence (AI) models, machine learning algorithms, or external databases.
4. Circumventing Fees: Solicit, arrange, or conduct transactions with a Legal Partner introduced through the Platform in order to circumvent TerraImm's applicable consultation, referral, or subscription fees.

6. Live Chat / Messaging Feature & Strict Prohibited Submissions

6.1 Third-Party Widget Integration

TerraImm provides a live chat / messaging feature powered by one or more third-party software providers. By initiating a chat session, you acknowledge that chat interactions, metadata, and IP addresses are processed and stored on vendor infrastructure subject to data processing controls.

6.2 STRICT BAN ON SENSITIVE PERSONAL IDENTIFIERS

IMPORTANT SECURITY MANDATE: The live chat feature and public messaging fields are provided strictly for general support, navigation, and scheduling inquiries. You are EXPRESSLY PROHIBITED from entering, uploading, or transmitting any highly sensitive personal information through the live chat widget, including but not limited to:

1. Social Security Numbers (SSNs), Alien Registration Numbers (A-Numbers), Taxpayer Identification Numbers (TINs), or other national identification numbers;
2. Credit card, debit card, bank account, or financial credentials;
3. Account passwords, PINs, or security codes;
4. Unencrypted images or copies of government passports, visas, driver's licenses, or identity documents.

6.3 Assumption of Risk & Liability Disclaimer

IF YOU TRANSMIT PROHIBITED SENSITIVE PERSONAL IDENTIFIERS THROUGH THE LIVE CHAT FEATURE IN VIOLATION OF THIS SECTION, YOU DO SO AT YOUR SOLE RISK. TERRAIMM EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY SECURITY INCIDENTS, UNAUTHORIZED EXPOSURE, DATA BREACHES, OR DAMAGES ARISING OUT OF YOUR VOLUNTARY SUBMISSION OF SENSITIVE PERSONAL DATA IN CHAT CHANNELS.

Sensitive documents should only be submitted through the Platform's secure document-upload tools or directly to your engaged Legal Partner.

7. Service Fees; Billing & Payments

7.1 Free Initial Consultations

Initial consultations scheduled through the Platform are provided at no cost to the Client. TerraImm does not charge a separate fee simply for speaking with our team or scheduling a consultation.

7.2 Master Services Agreement & Itemized Fees

1. MSA Required: Before TerraImm provides any paid services, the Client and TerraImm enter into a separate Master Services Agreement ("MSA") that itemizes the total cost of the engagement. The MSA discloses each component of the total price separately.
2. Legal Fees: The MSA specifies the fee charged for the legal services to be provided by your assigned Legal Partner ("Legal Fees"). Legal Fees are set by the Legal Partner and are disclosed to you as a specific, itemized amount in the MSA. TerraImm's own fee for its case-management and processing services (see item D below) is set independently of, and is not calculated as a percentage or share of, the Legal Fees.
3. Government & USCIS Filing Fees: The MSA separately itemizes any government filing fees (including USCIS and other federal or state fees) applicable to your case. These fees are set by, and paid to, the applicable government agency; TerraImm does not retain, mark up, or add a surcharge to government filing fees.
4. TerraImm Processing Fee: The MSA separately itemizes TerraImm's own fee for case coordination, document processing, and administrative support ("Processing Fee"). The Processing Fee compensates TerraImm for its own services and is not a division or sharing of the Legal Fees described in item B.
5. Payment Processing: Payments are processed via secure third-party payment gateways, including Stripe. You authorize TerraImm to charge your selected payment method for all authorized fees under the MSA.
6. Cancellations & Rescheduling: Scheduled appointments may be rescheduled or canceled up to 1 hour before the scheduled time without charge. Cancellations made after this window, or missed appointments, may be subject to the fee shown at booking.
7. Non-Refundable Fees: Except as required by law or as expressly stated in the MSA, fees paid under the MSA are non-refundable once the corresponding services have been performed. Refund terms specific to Legal Fees, Government Filing Fees, and the Processing Fee are governed by the MSA.
8. Invoice Disputes: You must notify TerraImm in writing at billing@terraimm.com of any invoice dispute within ten (10) business days of invoice receipt, detailing the disputed amount and factual basis. Undisputed amounts must be paid when due.

8. Intellectual Property & User Content

8.A TerraImm IP

The Platform, logos, software, design, interfaces, and content (excluding User Content) are the exclusive property of TerraImm, Inc. and its licensors, protected by U.S. and international copyright, trademark, and trade secret laws.

8.B User Content License

You retain ownership of the materials, personal information, case documents, and other content you upload ("User Content"). You grant TerraImm a limited, worldwide, non-exclusive, royalty-free, transferable license to store, reproduce, display, and process your User Content solely to operate the Platform, provide the services described in your MSA, and — where you direct us to do so — share it with the Legal Partner(s) you choose to engage. Because User Content may include sensitive personal and immigration-related information, TerraImm handles it in accordance with our Privacy Policy.

9. Disclaimer of Warranties

THE PLATFORM AND ALL ASSOCIATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERRAIMM DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

TERRAIMM DOES NOT WARRANT THAT THE PLATFORM WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE, AND DOES NOT WARRANT THAT ANY CONSULTATION, REFERRAL, OR CASE WILL RESULT IN VISA APPROVAL, A FAVORABLE IMMIGRATION OUTCOME, OR ANY SPECIFIC RESULT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TERRAIMM, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR DELAYED IMMIGRATION PROCEEDINGS, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

TERRAIMM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE LIMITED TO THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO TERRAIMM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).

11. Indemnification

You agree to defend, indemnify, and hold harmless TerraImm, Inc., its officers, directors, employees, agents, and affiliates from and against any third-party claims, liabilities, losses, damages, fines, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your User Content; (c) your violation of any law or third-party right; or (d) interactions, disputes, or the attorney-client relationship between you and any Legal Partner engaged through the Platform.

12. Account Termination & Suspension

TerraImm reserves the right, in its sole discretion, to suspend or terminate your account, restrict your platform access, or remove content immediately, with or without prior notice, for: (a) breach of these Terms; (b) fraudulent or illegal activity; (c) safety or integrity risks to users or the Platform; or (d) failure to pay applicable fees. Upon termination, your right to use the Platform ceases immediately.

13. Dispute Resolution Procedure (Texas AAA Arbitration)

13.1 Pre-Arbitration Informal Negotiation

Prior to initiating formal dispute proceedings, you and TerraImm agree to attempt to resolve any dispute, claim, or controversy informally for a period of at least thirty (30) days. Informal negotiations begin upon receipt of written email notice from you to legal@terraimm.com or from TerraImm to your account email address.

13.2 Mandatory Binding Arbitration

If a dispute cannot be resolved through informal negotiations within 30 days, YOU AND TERRAIMM AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR OUR PRIVACY POLICY SHALL BE SETTLED EXCLUSIVELY BY FINAL AND BINDING INDIVIDUAL ARBITRATION administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

1. Arbitration Location: The seat and venue of arbitration shall be Harris County, Houston, Texas, unless both parties mutually agree otherwise in writing.
2. Arbitrator Authority: A single arbitrator selected under AAA rules shall have exclusive authority to decide all issues regarding arbitrability, interpretation, enforceability, or scope of this agreement.
3. Costs & Fees: Each party shall bear its own arbitration costs and legal fees, provided that the prevailing party shall be entitled to recover reasonable attorneys' fees and costs as awarded by the arbitrator.
4. Confidentiality: All negotiations, mediation, and arbitration proceedings relating to any dispute under this Agreement shall be confidential and shall not be disclosed to any third party, except as may be necessary to obtain court enforcement of the arbitration award or as otherwise required by law.
5. Legal Fees: In any mediation, arbitration, or court proceeding permitted under this Section 13, the arbitrator or court (as applicable) shall award reasonable attorneys' fees and costs to the substantially prevailing party, and any allocation of arbitration administrative fees and arbitrator compensation shall be as set forth in Section 13.2(C).

13.3 Class Action & Jury Trial Waiver

YOU AND TERRAIMM EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY FORUM. ALL DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS. YOU WAIVE ALL RIGHTS TO INITIATE, JOIN, OR PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING AGAINST TERRAIMM WITH RESPECT TO ANY CLAIM, DISPUTE, OR CONTROVERSY ARISING OUT OF OR RELATED TO YOUR USE OF THE TERRAIMM, INC. WEBSITE OR APPLICATION. THE PARTIES AGREE THAT ALL DISPUTES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION AS PROVIDED IN SECTION 13.2, AND NEITHER PARTY MAY INITIATE LITIGATION IN ANY COURT WITH RESPECT TO SUCH DISPUTES, EXCEPT TO COMPEL ARBITRATION OR TO CONFIRM, ENFORCE, VACATE, OR MODIFY AN ARBITRATION AWARD AS PERMITTED BY APPLICABLE LAW.

13.4 Exceptions to Arbitration

Either party may bring a lawsuit in court strictly seeking emergency injunctive or equitable relief to protect intellectual property rights, trade secrets, or against unauthorized hacking/cyber-attacks, subject to Section 14.

14. Governing Law & Choice of Forum

These Terms and all disputes arising out of or related to your use of the Platform shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, United States, without giving effect to conflict-of-law principles.

Subject to Section 13 (Arbitration), the exclusive jurisdiction and venue for any judicial proceeding permitted under these Terms (including motions to compel arbitration or enforce arbitration awards) shall be the state or federal courts located in Harris County, City of Houston, Texas, and you consent to the personal jurisdiction and venue of such courts.

15. General Provisions

1. Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
2. Entire Agreement: These Terms, together with the Privacy Policy and any Master Services Agreement (MSA) or other separate engagement agreement executed by authorized representatives, constitute the entire agreement between you and TerraImm.
3. No Waiver: TerraImm's failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement.
4. Assignment: You may not assign or transfer these Terms without TerraImm's prior written consent. TerraImm may freely assign these Terms without restriction.
